By subscribing and accessing the Service and using it, You accept to be bound by these Terms and conditions of use. These Terms and Conditions of use constitute an agreement between you and Semantic Solutions and define the rights and responsibilities of You and Semantic Solutions regarding the Service.
The use of the Service is prohibited unless You accept these Terms and Conditions of use. Semantic Solutions is entitled to amend these Terms and conditions of use as necessary and shall submit the amended Terms and conditions of use on the website relating to the Service. It is recommended that the users regularly check the contents of these Terms and conditions of use in force.
ELIGIBILITY AND REGISTRATION
To use the Service, You must be at least fourteen (14) years of age and have the legal competence to conclude this agreement.
When registering to the Service, You will create a username and a password and agree to provide truthful and complete information about your identity. Providing misleading information is forbidden.
This agreement shall enter into force upon Your subscription to the Service and shall be in force initially twelve (12) months period and shall be automatically renewed for another twelve (12) months period, unless terminated by You. You have the right to terminate the subscription at any time by sending e-mail to info@semantic-solutions.com. Semantic Solution shall send You an e-mail confirming Your termination. Your registration shall cease to be in force at the end of the 12 months subscription period You sent the termination notice to Semantic Solution.
All users are personally responsible for all use of the Service with their username and password and undertake to take due care to protect their usernames and passwords against all misuse and unauthorized use of the Service.
Semantic Solutions has the right to prevent the user’s access or decline or terminate the user’s subscription to the Service with immediate effect, if the user abuses the Service or if there is an indication that the user has breach these Terms and conditions of use or has failed to timely pay the Service fee.
USE OF THE SERVICE
The Service is intended for private and non-commercial use only. Any use, copying or other exploitation of the classification structures of the catalogue, the item classifications, the item descriptions, the images of the items or other content belonging to the Service, either in part or in their entirety for any purpose other than private use, requires prior written permission of Semantic Solutions.
The Service may contain links to sites, which are owned or upheld by third parties. Semantic Solutions shall not be responsible for the content or the services or products offered on such sites. The users should be aware that the individual applications or other material contained in the Service may include supplementary terms and conditions attached to these third party services and materials.
FEE FOR THE SERVICE
The Service shall be subject to annual fee, which shall be payable in advance at the beginning of the subscription period.
PROVISION AND AVAILABILITY OF THE SERVICE
Semantic Solutions reserves the right to provide the Service in the best way it deems appropriate as well as to change, improve and correct the Service at its sole discretion. Furthermore, Semantic Solutions has the right to terminate the provision of the Service at its discretion by notifying the users thereof in advance in writing.
Semantic Solutions aims to notify the users of any potential substantial changes made to the Service in advance on the website relating to the Service.
PERSONAL DATA OF THE USERS
Semantic Solutions collects personal data given by the users when they subscribe to the Service. This personal data includes the email address, user name and password of the user.
Your personal data that You provide to Semantic Solutions may be processed by Semantic Solution for the purposes of administering Your user account or for the purposes of Service related payments. Your personal data may also be used for sending You information on the Service and updates and news relating to the Service. Your personal data is not processed by any third parties nor transferred to countries outside the European Union.
SERVICE CONTENT AND LIMITATION OF LIABILITY
The Service is provided on “AS IS” and “AS AVAILABLE” basis. Semantic Solutions shall not warrant that the Service will be uninterrupted or error-free. Semantic Solutions shall use due care and diligence when collecting information and other content to the Service, but shall not be responsible for the accuracy, exhaustiveness or reliability of the information or other content presented on the Service.
No warranty of any kind, either express or implied, including but not limited to warranties of title or non-infringement or implied warranties of merchantability or fitness for a particular purpose, is made in relation to the availability, accuracy, reliability, information or content of the Service.
To the maximum extent permitted by applicable mandatory law, Semantic Solutions shall not be liable for any indirect or unforeseeable damages arising out or relating to the use or inability to use the Service. This limitation of liability shall not, however apply to liability for death or personal injury or liability caused by gross negligence or intentional misconduct. Semantic Solutions’ maximum liability for direct damages caused to the user or to his/her property shall not in any case exceed the amount of the annual Service fee paid by the user.
The User shall be liable to Semantic Solutions for all damages caused by user’s unlawful behavior or infringement of these Terms and conditions of use.
APPLICABLE LAW AND DISPUTES
This Agreement is governed by the laws of Finland. Disputes arising out or relating to this Agreement will be attempted to be settled amicably. If no amicable settlement is attained, the dispute shall be settled in the District Court of the City of Hämeenlinna, Finland as the first instance.
